	BY COMPLETING THE REGISTRATION PROCESS AND CLICKING THE "I ACCEPT" BUTTON, YOU ARE INDICATING YOUR CONSENT TO EVERYTHING IN THIS AGREEMENT. PLEASE READ IT CAREFULLY! TERMS AND CONDITIONS AGREEMENT This agreement is the only agreement between TimaSearch.com (Tima Search Technologies Inc.) and those who register their businesses with Tima Search Business Directory. Any other agreement is invalid. We may amend these terms and conditions at any time by posting the amended terms on our Site. The amended terms shall automatically and immediately be effective when they are initially posted on our Site. For the purposes of these terms and conditions "user(s)" means any person or entity that registers his/her business with Tima Search Business Directory, and uses our system to further update and add new information under his/her account. Because we do not and cannot be involved in user-to-user dealings (be they professional engagements or mere communications) in the event that you have a dispute with one or more users, you release us (and our agents and employees) from claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with these disputes. USER COMMUNICATIONS AND CONTENT You understand that all information, data, text, software, music, sound, photographs, graphics, video, messages or other materials ("Content"), whether publicly posted or privately transmitted, are the sole responsibility of the person or entity from which this Content originated. This means that you, and not TimaSearch.com, are entirely responsible for all Content that you upload, post, email or otherwise transmit via the Service. Under no circumstances will TimaSearch.com be liable in any way for any Content, including, but not limited to, for any errors or omissions in any Content, or for any loss or damage of any kind incurred as a result of the use of any Content posted, emailed or otherwise transmitted via the Service. 1. You agree to not use the Service to: (a) upload, post, email or otherwise transmit any Content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable; (b) harm minors in any way; (c) impersonate any person or entity, including, but not limited to, a TimaSearch.com official, forum leader, guide or host, or falsely state or otherwise misrepresent your affiliation with a person or entity; (d) forge headers or otherwise manipulate identifiers in order to disguise the origin of any Content transmitted through the Service; (e) upload, post, email or otherwise transmit any Content that you do not have a right to transmit under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements); (f) upload, post, email or otherwise transmit any Content that infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party; (g) upload, post, email or otherwise transmit any unsolicited or unauthorized advertising, promotional materials, "junk mail", "spam", "chain letters", "pyramid schemes" or any other form of solicitation; (h) upload, post, email or otherwise transmit any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment; (i) disrupt the normal flow of dialogue, cause a screen to "scroll" faster than other users of the Service are able to type, or otherwise act in a manner that negatively affects other users' ability to engage in real time exchanges; (j) interfere with or disrupt the Service or servers or networks connected to the Service, or disobey any requirements, procedures, policies or regulations of networks connected to the Service; (k) intentionally or unintentionally violate any applicable local, provincial, national or international law, including, but not limited to the laws of Canada; (l) "stalk" or otherwise harass others; (m) collect or store personal data about other users. 2. You acknowledge that TimaSearch.com does not pre-screen Content, but that TimaSearch.com and its designees shall have the right (but not the obligation) in their sole discretion to refuse or move any Content created by you that is available via the Service. Without limiting the foregoing, TimaSearch.com and its designees shall have the right to remove any Content that violates these terms and conditions or is otherwise objectionable. 3. You acknowledge and agree that TimaSearch.com may preserve the Content created by you and may also disclose such Content if required to do so by law or in the good faith belief that this preservation or disclosure is reasonably necessary to: (a) comply with legal process; (b) enforce these terms and conditions; (c) respond to claims that any Content violates the rights of third-parties; or (d) protect the rights, property, or personal safety of TimaSearch.com, its users and the public. 4. SECURITY AND PASSWORDS You are responsible for maintaining the confidentiality of your password and account on TimaSearch.com, and you are fully responsible for all activities that occur under your password or account. You agree to (a) immediately notify TimaSearch.com of any unauthorized use of your password or account or any other breach of security; and (b) ensure that you exit from your account at the end of each session. You may not disclose or share your password to any third parties or use your password for any unauthorized purpose. TimaSearch.com cannot and will not be liable for any loss or damage arising from your failure to comply with this paragraph. INDEMNIFICATION You agree to defend, indemnify and hold us and our affiliates, directors, officers, members, managers, agents, consultants and employees harmless from and against any and all claims, losses, liabilities, costs and expenses (including, without limitation, attorneys' fees) arising from your violation of any of these terms and conditions or any third party rights, including, without limitation, infringement of any copyright, violation of any proprietary right and invasion of any privacy rights. PROPRIETARY RIGHTS You acknowledge and agree that the Service and any necessary software used in connection with the Service ("Website") contain proprietary and confidential information that is protected by applicable intellectual property and other laws. You further acknowledge and agree that Content contained in sponsor advertisements or information presented to you through the Service or advertisers is protected by copyrights, trademarks, service marks, patents or other proprietary rights and laws. Except as expressly authorized by TimaSearch.com or advertisers, you agree not to modify, rent, lease, loan, sell, distribute or create derivative works based on the Service or the Software, in whole or in part. COPYRIGHT COMPLAINTS It is TimaSearch.com's policy to comply with all intellectual property laws and, in appropriate circumstances, to terminate the accounts of users who infringe the intellectual property rights of others. If you believe that your work has been infringed, please send a notice of copyright infringement to TimaSearch.com containing the following information: (a) physical or electronic signature of the copyright owner or the person authorized to act on behalf of the copyright owner; (b) identification of the copyrighted work claimed to be infringed; (c) description of where the alleged infringements are located in our website; (d) your name, address, telephone number, and email address; (e) A statement of good faith belief that the material is infringing; (f) A statement that the information in the notification is accurate and that the complaint is authorized by the copyright holder. If TimaSearch.com receives a counter notification, it will forward this notification to the original complaining party. If the complaining party does not respond to the counter notice by filing a lawsuit against the subscriber, TimaSearch.com will restore the material or access to the material within 15 days of the receipt of a counter notification.
